JC Master Updates | Attorney Zhang Xinran of JC Master (Suzhou) was invited to deliver a public lecture titled “Entrepreneurship, Business Succession, and the Family” for the Xiangcheng District Women Entrepreneurs Association and the Sichuan–Chongqing Chamber of Commerce.

On March 21, 2025, JC Master (Suzhou) Law Office, in collaboration with the Xiangcheng District Women Entrepreneurs Association and the Jiahe Legal Service Center of Xiangcheng District, hosted a special public‑interest legal education lecture. Attorney Zhang Xinran was invited to deliver a presentation on the theme “Entrepreneurship, Business Succession, and the Family.” This session also marked an initiative undertaken by Attorney Zhang Xinran, as a member of the Xiangcheng District CPPCC Committee, in response to the call to “Have Lawyer Members Enter Chambers of Commerce,” demonstrating her commitment to serving the public.
 

The lecture focuses on legal practice in the management of private enterprises, systematically examining the key legal considerations throughout the entire lifecycle of a couple‑run business. During the startup phase, it outlines the operational characteristics of different corporate structures and the corresponding approaches to liability, with particular emphasis on the criteria for determining marital joint debt, as well as the critical precautions and potential legal risks associated with one spouse entering into guarantee agreements on behalf of the other. In the business‑maintenance phase, it delves into pivotal legal issues that arise once the enterprise is on track—such as the disposition of significant assets between spouses, the allocation of guarantee liabilities, and the resolution of corporate‑governance matters in the event of divorce.
 

During the lecture, Attorney Zhang drew on cases he had handled to vividly explain how the implementation of the new Company Law and the Second Judicial Interpretation of the Marriage and Family Chapter of the Civil Code have impacted family‑business operations, while using representative case studies to highlight the risks associated with the commingling of family and corporate assets. He also provided a concise overview of legal tools for wealth succession in family enterprises, offering participating entrepreneurs both a systematic understanding and practical, actionable legal advice.
 

Finally, Attorney Zhang engaged in a Q&A session with the entrepreneurs in attendance, and the lecture concluded successfully amid lively discussion.

This lecture effectively heightened entrepreneurs’ awareness of risk segregation between their family assets and business operations, thereby providing legal safeguards for the sound development of private enterprises.
