Non-litigation work involves gaining a comprehensive understanding of a company’s historical development, business operations, personnel, assets, and other aspects. Through reviewing materials provided by the company and conducting interviews with its staff, legal issues or potential legal risks are identified. Often, it is only after lawyers complete their due diligence that the company systematically organizes and prepares relevant information. Particularly as companies grow larger and accumulate more subsidiaries, senior management may not always have a clear grasp of certain specialized matters. In some cases, it is precisely through our due diligence that the company discovers previously unknown circumstances. Underlying these legal issues is, in essence, whether the company’s internal controls and management practices are effective—something that requires serious attention from top management. To illustrate this point, consider a scene from the American TV series Suits: at Morrisey Asset Management, insider trading was taking place. After identifying “the mole,” Burt, Chairman Dean remarked, “Harvey, I want you to know that I knew nothing about any of this.” In response, attorney Harvey retorted, “Dean, when I was 13 years old, my little brother was getting bullied by a kid in the neighborhood. One day, I confronted the kid's father. He told me he didn't know anything about it. You know what his problem was? It was his goddamn job to know.”
