The Analects of Confucius teaches, “At thirty, one stands office.” In the world of law, there is no eternal haven—only a sailing ship that must constantly brave the waves. Amid uncertainty, we must reinvent professional value; independence brings not merely pressure, but also the key to unlocking new dimensions in our careers. At the age of thirty, I chose to shed the “protective armor” of salaried counsel and set sail once more as an independent lawyer. Behind this decision lie countless late-night reflections at my desk, the accumulated lessons of both victories and defeats, and, above all, a return to the very essence of the legal profession. As Socrates put it, “Wisdom begins with definition,” and my definition is this: a true jurist must ultimately take the helm of their own destiny.

A certain biotechnology company entered into the “Agreement on the Issuance of Shares and Payment of Cash for the Acquisition of Assets of a Certain Advertising Joint-Stock Company” (hereinafter referred to as the “Asset Acquisition Agreement”) with Chen, a Guangdong-based company, and a total of 36 shareholders of the said advertising joint-stock company. Under the agreement, the biotechnology company was obligated to pay Guangdong-based company a cash consideration of RMB 99,224,252.31 in exchange for the 4.023% equity interest it held in the advertising company.

In the divorce proceedings between Zhang and Sun, Sun filed a lawsuit with the court seeking a declaration that the transfer of equity in a certain power company—transferred by Zhang to his father, Zhang Moumou—was invalid, on the grounds that Zhang had transferred the equity without Sun’s consent and that the transfer price was significantly below market value, indicating an intent to maliciously transfer assets.
