In recent years, the number of disputes involving private equity funds has been steadily increasing, with cases often characterized by substantial amounts in controversy, complex factual circumstances, difficulties in gathering evidence, and sharply conflicting interests. In this case, the private equity fund manager failed to exercise due diligence in fulfilling its investment management obligations. To safeguard the partnership’s interests, a limited partner initiated arbitration proceedings in its own name. JC Master Law Office represented the limited partner in filing for arbitration and simultaneously sought to hold the general partner jointly and severally liable. The principal claims in this matter were all upheld by the Nanjing Arbitration Commission, which ordered the fund manager to refund nearly RMB 50 million in management fees to the partnership and held the general partner jointly and severally liable.
 

Under increasingly stringent regulatory scrutiny, fund managers’ charging of management fees is no longer based solely on the provisions of the partnership agreement; it also requires that the manager provide services commensurate with the fee, demonstrate professional management expertise, uphold a spirit of diligence and accountability, and fulfill their duty of prudent investment. From the time the case was accepted to the final adjudication, approximately one year elapsed, culminating in a highly satisfactory outcome.
